These Terms of Service ("Terms") govern your access to and use of the Acloset website, app, and widgets (“Acloset” or the “Service”). Please read these Terms carefully, and contact us if you have any questions. By accessing or using Acloset, you agree to be bound by these Terms, and our Privacy Policy. If you do not agree to these terms, or any additional terms referenced herein, you must not access Acloset. As we may modify any terms herein at any time You should periodically visit this page to review all current terms. This Service is provided to you by Looko, Inc. (“Looko”, “we”, “our”, or “us”).

Our service

Acloset is a digital platform that offers a convenient way to digitize and store your clothes, making it easy to keep track of your wardrobe and access your clothes from anywhere. With Acloset, you can also combine outfits, share them with others, and get suggestions for new outfits based on your existing clothes. In addition to these features, Acloset also operates a peer-to-peer marketplace where users can buy and sell clothing items from each other.

When a user purchases items on the platform, the contract for sale is directly between the buyer and the seller, and Acloset is not a party to such transactions. However, it is important to note that there are risks involved in dealing with others on the platform, and users are solely responsible for their evaluation of and decisions to use the Service, as well as any actions they take on the Service.
Using Acloset
1. Who can use Acloset
  
  You can use Acloset only if you can legally form a binding contract with us, and only in compliance with these Terms and all applicable laws. When you create your Acloset Account, you must provide us with accurate and complete information. Any use or access by anyone under the age of 13 is not allowed. You are responsible for maintaining the confidentiality of your login details and any activities that occur under your Account. If you have any concerns that your Account may have been misused, you should contact us. Using Acloset may include downloading software to your computer, phone, tablet, or other devices. By using Acloset, you agree that we may automatically update that software, and these Terms will apply to any updates.
2. Our license to you
  
  Subject to these Terms and our policies, we grant you a limited, non-exclusive, non-transferable, and revocable license to use our Service.
Your contents
1. Posting contents
  
  Acloset allows you to post contents, including photos, comments, links, and other materials. Anything that you post or otherwise make available on Acloset is referred to as "User Content." You retain all rights in, and are solely responsible for, the User Content you post to Acloset. When you submit content to Acloset, you represent and warrant that you own all rights to the content or have permission from the owner to submit it. The content is intended to be shared with other users on the platform. Acloset may investigate, take legal action, or perform any other necessary actions to manage the service, your content, and your use of the service. This may include preserving information for investigative purposes.
2. How Looko and Acloset Can Use Your Content
  
  You grant Looko Inc. and its affiliated companies and necessary service providers a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, display, reproduce, save, modify, adapt, create derivative works from, perform, license, sub-license, and distribute your User Content. This license is granted for the following purposes:
  1. Operating, providing, maintaining, securing, and promoting the Acloset Service;
  2. Improving and developing current and future Acloset services, features, and technologies. This includes analyzing User Content (such as text from chats, uploaded images, and associated metadata generated through features like AI Chat and AI Image Processing tools) to understand usage patterns, enhance service quality, and develop new functionalities. Our use of your personal information within User Content for this purpose is also subject to your consent as described in our Privacy Policy.
  Nothing in these Terms restricts other legal rights Looko may have to User Content (for example, under other licenses or applicable law). We reserve the right to remove or modify User Content, or change the way it is used in Acloset, for any reason, including User Content that we believe violates these Terms or our policies, with or without notice. However, Looko does not control and is not liable for how other users may use your publicly shared User Content.
3. How long we keep your content
  
  Following the termination or deactivation of your account, or if you remove any User Content from Acloset, we may keep your User Content for a reasonable period of time for backup, archival, or audit purposes. Looko and its users may retain and continue to use, store, display, reproduce, modify, create derivative works, perform, and distribute any of your User Content that other users have stored or shared on Acloset.
4. Feedback you provide
  
  We value hearing from our users, and are always interested in learning about ways we can make Acloset better. If you choose to submit comments, ideas or feedback, you agree that we are free to use them without any restriction or compensation to you. Accepting your submission does not mean Acloset will waive any rights to use similar or related feedback previously known to Acloset, or developed by its employees, or obtained from sources other than you.
Subscription
1. Subscription payment
  
  You have the option to upgrade your Acloset account with additional closet space by subscribing plans.
  
  Your subscription fee will be processed via the app store linked to your device (like the Apple App Store or Google Play). To subscribe, you must keep a valid payment method registered with the app store.
  
  You will be charged in advance on a recurring basis, based on the Subscription plan you choose. Your Subscription will automatically renew at the end of each billing cycle under the same conditions unless you cancel it or Looko cancels it.
2. How to Cancel Your Subscription
  
  Cancelling your subscription is possible anytime through your device’s app store. A cancellation before the end of the current billing cycle keeps your subscription active until its conclusion, and you won’t be billed for the next cycle.
  
  However, cancelling after a billing cycle begins means you won’t get a refund for that period.
3. Upgrading Your Subscription
  
  You're free to switch to higher level of subscription plan at any time. While your account will be upgraded right after you switched to the higher plan, the policy for remaining period depends on the payment method you made.
  1. Apple App Store: To upgrade your plan, you'll need to pay the full amount of the new plan first. Your new subscription period will begin, and you'll be refunded the old subscription fee for the remainder of the period.
  2. Google Play Store: To upgrade your plan, you must first pay for the new plan for the remainder of the subscription period. The length of your subscription will not change, and you will be charged for the entire subscription period at the time of your next payment.
4. Downgrading Your Subscription
  
  You can request a downgrade at any time. Your current plan will remain for the duration of your current subscription, and the plan you downgraded to will begin in your next subscription period. No refunds will be given for fees already paid for your current Subscription period.
5. Cancellation of Subscriptions
  
  You can cancel your Subscription renewal through Acloset’s settings page and the Application Store. No refunds will be given for fees already paid for your current Subscription period, and you will maintain access to the Service until the end of that period.
6. Changes to Subscription Fees
  
  Looko may change Subscription fees at its discretion. Any changes will take effect after the current Subscription period ends.
  
  Looko will notify you in advance of any fee changes through the app store you made payment, allowing you the opportunity to cancel your Subscription before the change takes effect.
7. Refund Policy
  
  Looko follows the app store’s policy for refunds. Contact the Application Store directly for refund requests.
Beans
1. What Beans Are: Beans are digital items you can obtain and use within the Acloset application. They represent a limited permission (a license) granted by Looko Inc., allowing you to access certain features or content within Acloset only. This license is non-exclusive, non-transferable, non-sublicensable, and can be revoked by Looko. You understand and agree that Beans:
  1. Have no cash value, are not real money, and cannot be exchanged or redeemed for cash, real currency, or any value outside of Acloset.
  2. Cannot be transferred, sold, gifted, or traded between users or accounts.
  3. Do not constitute your personal property. You have no ownership rights over Beans.
  Any attempt to sell, trade, transfer, or exchange Beans outside of the methods expressly permitted by Looko within the Acloset service is strictly prohibited. Violating this restriction may result in the suspension or termination of your account and the forfeiture of any Beans associated with your account, at Looko's sole discretion.
2. Acquiring Beans:
  1. Purchasing Beans: You can acquire Beans through In-App Purchases (IAP) using your account with the relevant application platform (e.g., Apple App Store or Google Play Store). These purchases are subject to the payment terms and conditions of that platform provider. You are responsible for all charges made through your account. If you are under the age of 18 (or the age of legal majority in your jurisdiction), you must have your parent's or legal guardian's permission to purchase Beans.
  2. Other Ways to Acquire Beans: Looko may offer other ways to obtain Beans. Looko reserves the right to introduce, modify, or discontinue any such methods for obtaining Beans at any time without notice. Beans obtained through methods other than purchase ("Non-Purchased Beans") may be subject to different rules, including potential expiration dates or revocation by Looko at any time, as determined solely by Looko.
3. Using Beans: Beans can be redeemed within Acloset to access specific features, services, or digital content offered by Looko. Examples include paying for extra AI Chat messages or saving images generated by AI tools like 'Beautify' or 'Smart Detector'. Looko reserves the right to decide and change which features or content can be accessed with Beans, and how many Beans are needed for any transaction, at any time, with or without prior notice. When you use Beans, they are immediately deducted from your account balance.
4. Refund Policy:
  1. Purchase Refunds: All purchases of Beans are final and non-refundable, except where required by law or the specific refund policies of the platform provider (Apple App Store or Google Play Store) used for the purchase. If you seek a refund for the initial purchase of Beans, you must contact the platform provider directly. Looko Inc. does not process refunds for these initial purchase transactions.
  2. No Refunds for Used Beans: Regardless of any potential refund eligibility for the initial purchase from the platform provider, once you use Beans within Acloset to access a feature, service, or content (e.g., saving an AI image), that use is final. Used Beans are non-refundable from Looko Inc.
5. Loss upon Account Termination: If your account is terminated or closed for any reason, any remaining Beans in your account may be forfeited without any compensation or refund, unless required by applicable law.
Artificial Intelligence (AI) Features
1. Service Description: Acloset may offer features powered by artificial intelligence ("AI Features"), such as the AI Chat agent for fashion advice and AI Image Processing tools ('Beautify', 'Smart Detector'). These features utilize AI models to generate responses or process content based on your input.
2. User Input and Content: Your use of AI Features may involve providing input, such as text messages or images ("User Input"). Your User Input is considered User Content, and your grant of rights to Looko for using this User Content is governed by Section 3 ("Your Content") of these Terms.
3. AI-Generated Output:
  1. Nature of Output: You acknowledge that outputs generated by AI Features (e.g., chat responses, processed images, suggestions) are generated by an AI system. They are provided for informational or entertainment purposes only.
  2. Disclaimer of Warranties: AI Features and their outputs are provided "as is" and "as available." Looko specifically disclaims any warranties, express or implied, regarding the accuracy, completeness, reliability, suitability, timeliness, or non-infringement of AI-generated outputs. Outputs may contain errors, biases, or inaccuracies.
  3. Not Professional Advice: Outputs from AI Features, including the AI Chat, do not constitute professional fashion consulting, or any other type of professional advice (e.g., legal, financial). You should not rely solely on AI-generated outputs for making decisions. Looko is not responsible for any actions taken based on AI outputs.
4. Ownership of AI-Generated Images
  1. "AI-Generated Image" means all visual outputs generated based on User Uploaded Content through artificial intelligence technology within the Service.
  2. All intellectual property rights, including copyright, in and to AI-Generated Images are exclusively vested in Looko. What we provide to the Member is not the AI-Generated Image file itself, but a limited right to use such image within the App in accordance with these Terms.
  3. Looko grants the Member a license to view and utilize AI-Generated Images within the Service solely for personal and non-commercial purposes. Sharing AI-Generated Images externally is permitted on a limited basis. The Member may perform the following acts:
    1. Viewing AI-Generated Images within the Service.
    2. Modifying AI-Generated Images using editing features provided by us within the Service (provided that rights to such modified images are also subject to this Article).
    3. Creating and saving content utilizing AI-Generated Images using features provided by us within the Service, such as outfit making.
    4. Sharing with other Members within the Service using features provided by us within the Service.
    5. Posting or sharing AI-Generated Images or Service screen captures containing AI-Generated Images outside the Service for personal and non-commercial purposes.
  4. The Member shall not perform the following acts without Looko's permission:
    1. Unauthorizedly copying, altering, modifying, editing, or creating derivative works based on AI-Generated Images using methods other than the features provided within the Service.
    2. Selling, renting, leasing, or otherwise commercially exploiting AI-Generated Images or content utilizing them in any form (including all direct or indirect for-profit activities such as advertising, marketing, product manufacturing, or service sales).
    3. Falsely representing AI-Generated Images as the Member's own or a third party's original creation, or otherwise misrepresenting their origin.
    4. Using AI-Generated Images to develop or provide services that compete with our business.
    5. Using AI-Generated Images in connection with or for the purpose of any content that is illegal, infringes upon the rights of others, defamatory, obscene, violent, discriminatory, or otherwise contrary to public order and good morals, or is otherwise inappropriate.
    6. Any other act that infringes Looko's intellectual property rights or interferes with the normal operation of the Service.
  5. We may use AI-Generated Images for reasonable business purposes, including but not limited to providing, operating, maintaining, and improving the Service, developing new features and services, training and enhancing AI models, statistical analysis, complying with legal obligations, enforcing these Terms, and maintaining the security of the Service.
  6. The Member acknowledges that AI-Generated Images may not accurately reflect actual clothing or styles and must be used at the Member's own discretion and responsibility.
5. User Obligations: When using AI Features, in addition to your obligations under Section 11 ("User Obligation"), you agree not to:
  1. Use the features to generate or attempt to generate content that is illegal, harmful, harassing, infringing, or otherwise violates our content policies.
  2. Attempt to discover the underlying algorithms, models, or prompts used by the AI Features.
  3. Circumvent any safety filters or safeguards implemented within the AI Features.
  4. Use automated means (e.g., bots, scripts) to interact with the AI Features in a way that disrupts or places an unreasonable load on the Service.
  5. Use the features for any purpose that infringes upon the rights of others.
  6. For AI Features that may allow previewing results before finalization (such as certain AI Image Processing features), attempt to save, copy, screenshot, or otherwise capture or use the previewed output in any manner without completing the required action (e.g., spending Beans as described in Section 5) to obtain the final authorized result.
6. Limitation of Liability: Your use of AI Features is subject to the limitations of liability set forth in Section 13 ("Limitation of liability") of these Terms.
